2. Definitions

a) Seller: SC FROSBERG DIGITAL SRL, legal entity with registered office in B-dul Iuliu Maniu Nr. 160 Bl. I Sc. C Et. 3 Ap. 83, having a unique fiscal registration

code RO43692940, serial number in the Trade Register J40 / 2115/2021

b) Buyer: any natural person with a minimum age of 16 years or any legal person who makes an Account on the site and places an Order

c) Account: the section of the Site that offers the Buyer the possibility to send the Order and that contains information about the Buyer, the order history

and their status.

d) Website: www.frosbergdigital.ro domain

e) Order: is the electronic document by which the Buyer transmits to the Seller, through the Site, the intention to purchase Products or Services from the

Site

f) Product: any good that can be provided by the Seller to the Buyer following the concluded Contract

g) Service: any service that can be provided by the Seller to the Buyer following the concluded Contract

h) Contract: represents the distance contract concluded between the Seller and the Buyer, without the simultaneous physical presence of the Seller and

the Buyer.

i) Content: represents the texts, digital photographs, technical data, specifications, prices and all other information that can be found on the

Website www.frosbergdigital.ro or that have been sent to the Buyer by e-mail.

j) Newsletter: represents the means of periodic information, exclusively electronic (e-mail or SMS), about the Products or promotions carried out by the

Seller in a given period but without any commitment on the part of the Seller regarding the information contained therein.

k) Specifications: represent the characteristics or descriptions of the Products and Services.

3. Contractual documents

By registering an Order on the Site, the Buyer agrees to the form of communication (telephone or e-mail) through which the Seller carries out its

commercial operations.

The notification received by the Buyer, after the execution of the Order, has the role of information and does not represent the acceptance of the

Order. This notification is made electronically (e-mail) or by telephone.

The contract is considered concluded between the Seller and the Buyer upon receipt by the Buyer from the Seller, by e-mail and / or SMS of the

notification of dispatch of the Order.

For orders to be paid through the bank, the prices and reservations are valid for 72 (seventy-two) hours from the issuance of the proforma invoice.

The document and the information provided by the Seller on the Site will form the basis of the Contract, in addition to which it will be the warranty

certificate issued by the Seller or a supplier thereof for the Products purchased.

4. The content of the Site and the intellectual and industrial property right

The entire Content of the Site www.frosbergdigital.ro is the property of FROSBERG DIGITAL SRL and its suppliers and is protected by law for the protection

of copyright and intellectual property rights. The use without the written consent of FROSBERG DIGITAL of any of the elements listed above is punishable

under applicable law.

No Content transmitted by the Seller to the Buyer, by any means of communication (electronic, telephone, etc.) or acquired by accessing, visiting,

viewing, constitutes a contractual obligation.

FROSBERG DIGITAL is not and cannot be responsible for the content, quality or nature of other sites accessed through links on this Site (commercial or

advertising links), the responsibility for those sites resting entirely with their owners.

FROSBERG DIGITAL does not guarantee and does not assume responsibility that the information presented on the Site is correct, complete or up to date as

well as that the services offered through the Site are accessible, uninterrupted or error-free.

FROSBERG DIGITAL reserves the right to cancel the delivery of a Product and to notify the Buyer as soon as possible in the event that the price of the

Product or its characteristics have been incorrectly registered in our database and subsequently displayed incorrectly on the Site.

The prices, the offers, the stock, the possible promotions as well as the content from the Site, can be modified without prior notice.

5. Confidentiality and processing of personal data

FROSBERG DIGITAL collects from the Buyer personal data such as: name, surname, e-mail, telephone number, address, bank account, only if they are

provided voluntarily by him. The refusal to provide this data, leads to the impossibility of processing and finalizing the orders sent to FROSBERG DIGITAL

through the Site.

We do not provide your contact details to third parties (individuals or legal entities), we do not sell, offer or exchange information obtained through the

Site, we do not disclose the e-mail addresses of Buyers, without the express written consent.

Based on expressly formulated official requests, your personal information may be provided to the Prosecutor's Office, Police, courts or other competent

state bodies, based on the legal limits.

Any user who has explicitly provided information on the Site, may choose to delete them from the database of www.frosbergdigital.ro , in this sense it is

sufficient to contact us in writing at the e-mail address: office@frosbergdigital.ro .

FROSBERG DIGITAL cannot be held responsible for any loss of information caused by any security issues of the host hosting our Site or the actions of third

parties.

6.Command

The Buyer can place orders on the Site by adding the desired Products or Services to the shopping cart, and will complete the Order by making payment

in one of the ways expressly indicated on the Site. Once added to the shopping cart, a Product or Service is available for purchase to the extent that there

is stock available for it. Adding a Product or Service to the shopping cart, without completing the Order, does not require the registration of an order,

implicitly the order of the Product or Service.

By completing the Order, the Buyer agrees that all data provided by him, necessary for the purchase process, are correct, complete, updated and true at

the time of placing the Order.

By completing the Order, the Buyer agrees that the Seller may contact him by any available means agreed by the Seller, in any situation necessary to

contact the Buyer.

The Seller may cancel the Order placed by the Buyer, following a prior notification addressed to the Buyer, without any subsequent obligation of any party

to the other or without any party being able to claim damages from the other, such as:

a) the refusal by the issuing bank of the Buyer's card, of the transaction, in case of online payment with the card

b) invalidation of the transaction by the card processor approved by www.frosbergdigital.ro , in case of online payment with the card.

c) the data provided on the Site by the Buyer are incomplete or incorrect.

7. Invoicing and payment

The prices of the Products and Services displayed on the Website www.frosbergdigital.ro include VAT according to the legislation in force.

The price, any additional fees, the payment method and the payment term are specified in each Order.

The Seller issues to the Buyer an invoice for the ordered Products or Services and the Buyer is obliged to provide all the information necessary for its

issuance in accordance with the legislation in force.

The buyer will receive by e-mail the proforma invoice for the payment of Orders through the bank.

8.Delivery

The delivery conditions of the Products and Services sold on the Website www.frosbergdigital.ro can be found in the Orders Delivery section.

The Seller will ensure the proper packaging of the Products and will ensure the transmission of the accompanying documents.

Orders placed and confirmed from Monday to Friday until 15:00, can be delivered within a maximum of 48 hours, except when the delivery times are

communicated to the Buyer by e-mail or telephone.

The Products and Services available on the Website www.frosbergdigital.ro are available only in Romania. For deliveries outside the borders, please send

us a written request to office@frosbergdigital.ro

For Orders with values higher than 500 RON, the transport is free in the coverage area of Fan Currier.

For large products, with irregular shapes, very heavy that cannot be stacked, special transport fees are paid and will be communicated in writing before

shipment, for each Product separately and its delivery address.

Upon delivery of the order, the Buyer has the obligation to check whether the Products received correspond to those ordered. Any discrepancy must be

reported within a maximum of 5 days from the delivery of the order. After this time, the notifications will no longer be considered.

9.Warranty and Service

All the Products sold on the Site www.frosbergdigital.ro are new, in the original packaging and come from sources authorized by each manufacturer.

The products purchased from our store benefit from a 12, 24 or 36 month warranty, as the case may be, exclusively on the Romanian territory.

The defective product claimed during the warranty period must be sent to the service center mentioned in the warranty certificate.

The buyer is obliged to present the following elements at the request of the guarantee: original guarantee certificate, copy of the fiscal invoice, service

form completed and signed by him, the accessories that accompanied the purchase, the original packaging or other packaging corresponding to safe

transport. The absence of any of the above elements makes it impossible to grant a guarantee.

Payment for transport to the Service is the responsibility of the Buyer.

If the request to the Service during the warranty period is unjustified and the Products operate within the parameters specified by the manufacturer or the

claimed defect is not covered by the warranty, the Buyer will pay the round trip transportation fees as well as the cost of diagnosing the Product.

The warranty settlement period is 15 working days from the receipt of the Product in service.

10. The right of withdrawal

According to GEO No. 34/2014 on consumer rights, the consumer (natural person) has the right to notify the company in writing that he renounces the

purchase, within 14 calendar days from the date of physical possession of the products to the customer.

The Buyer can return only after completing the return form available here and only after receiving the registration number from the Seller!

Exceptions to the right of withdrawal:

a) products that show traces of mechanical shocks, contact with liquid, blows, scratches, physical changes, etc.

b) products that are not usually in stock and are brought on special order with advance payment

c) software licenses and software licensed products.

d) products that are part of the consumables category: cables, connectors, plugs, batteries, etc.

11.Marketing

www.frosbergdigital.ro may display, in its pages, the advertisement for the Products and Services in its offer as well as other Products or Services

belonging to third parties. By using www.frosbergdigital.ro and accepting the Terms and Conditions of its use as well as the Privacy Policy, you expressly

and directly express your agreement to be the recipient of these commercial communications.

12. Major force

Major force exempts the contracting parties from fulfilling the obligations assumed by this contract, for its entire period and the contract will be

suspended during the period of force majeure.

13. Transfer of ownership of products

Ownership of the Products is transferred upon delivery after payment by the Buyer to the Seller. Delivery means signing the receipt of the transport

document provided by the courier or signing the receipt of the fiscal invoice in case of deliveries made by the Seller

14. Applicable law - final clauses

The services offered by FROSBERG DIGITAL through www.frosbergdigital.ro are subject to Romanian laws. In case of dispute or litigation, the parties will

try to resolve it amicably, otherwise they will address the competent courts in Bucharest.

For any complaint or notification, FROSBERG DIGITAL provides its customers with the contact address office@frosbergdigital.ro and the maximum term for

resolving complaints is 30 calendar days from their receipt.
